Welcome to MJTECHS. By accessing our website (https://mjtechs.in/), commissioning our digital development services, or entering into a Statement of Work (SOW), you agree to be bound by the following Terms and Conditions.

1. Statement of Work & Project Scopes

All software development, website builds, custom integrations, and AI automation projects are governed by an itemized Statement of Work (SOW) or written proposal agreed upon by both parties. Any feature requests, design revisions, or architectural additions outside the initial agreed scope will be evaluated under a transparent written change order.

2. Client Responsibilities

To ensure timely project execution according to our agreed schedule, the client agrees to provide:

• All necessary text, branding assets, credentials, and API access keys in a timely manner.
• Prompt feedback and milestone approvals within five (5) business days of milestone submission.
• Accurate representations of business logic, third-party vendor arrangements, and compliance obligations.

3. Payment Terms, Deposits & Milestones

Unless expressly agreed otherwise in writing, project contracts are billed on a fixed milestone structure:

• Initial Deposit: Typically 50% due prior to project kickoff and architectural planning.
• Final Balance: Due upon completion of staging review and prior to production server deployment or source code handover.
• Monthly Retainers: Invoiced in advance on a recurring monthly billing cycle. Retainer hours do not roll over across calendar months unless agreed in writing.

4. Intellectual Property & Code Ownership

Upon receipt of full and final payment:

• All bespoke code, custom stylesheets, HTML templates, and graphical assets engineered specifically for the client become 100% the property of the client.
• MJTECHS retains ownership of pre-existing proprietary frameworks, internal development boilerplates, and open-source libraries incorporated under standard MIT/Apache licenses.
• MJTECHS reserves the professional right to showcase completed non-confidential projects in our agency portfolio and case studies, unless an explicit Non-Disclosure Agreement (NDA) prohibits public attribution.

5. Warranty & Post-Launch Support

Every custom website and web application delivered by MJTECHS includes a complimentary thirty (30) day post-launch bug-fix warranty. During this period, we correct any functional defects or code errors that do not adhere to the agreed specification at no additional charge. Modifications to code made by third parties or client staff invalidate this warranty.

6. Limitation of Liability

In no event shall MJTECHS, its directors, or developers be liable for indirect, incidental, special, or consequential damages (including loss of business profits, data corruption, or downtime caused by third-party hosting failures, DNS providers, or sudden upstream API policy changes). Our maximum cumulative liability under any circumstance is strictly limited to the total fees received for the specific service in dispute.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of West Bengal, India. Any disputes arising in connection with these terms shall first be addressed through good-faith executive negotiation, and if unresolved, submitted to binding arbitration in Burdwan, West Bengal, India.
